Terms of Service

The service

These terms are an agreement between you and Freyr And Sons LLC, a Texas limited liability company that operates ClauseSignal. "We," "us," and "ClauseSignal" in these terms mean Freyr And Sons LLC. By creating an account or using the service, you accept these terms.

ClauseSignal is informational monitoring of publicly published FAR and DFARS clause text. You select exact clause identifiers to watch; when official source material changes, we send you a source-linked record of that change. ClauseSignal does not determine whether a clause applies to your contracts, does not provide legal advice, and is not affiliated with or endorsed by the U.S. Government. Trial and billing

Paid monitoring is billed monthly at $49 or annually at $399, after a 14-day trial that requires a payment method. Cancel before the trial ends to avoid being charged. The trial is available once per customer: if your account has subscribed before, resubscribing starts paid billing immediately with no second trial. Subscriptions renew automatically until canceled. All payment processing, invoicing, and subscription management run through Stripe's hosted Checkout and Customer Portal; ClauseSignal never receives or stores your card details.

If a renewal payment fails, monitoring continues for a short grace period while Stripe attempts to recover the charge; if payment is not recovered, paid monitoring access ends automatically. You can update your payment method, change plans, or cancel at any time from the billing page.

Refunds

Annual plans: if you are unhappy with the service, email support@clausesignal.com within 30 days of your first annual charge and we will refund it in full. Annual renewal charges are not refundable — we email you before each annual renewal so you can cancel first.

Monthly plans are not refunded or prorated for a partial month. Canceling stops the next charge and monitoring continues through the period you already paid for.

Your account

You are responsible for the accuracy of the clause identifiers you watch and for keeping your account credentials secure. An account may watch at most 100 active clauses. We may suspend or terminate access for abuse, non-payment, or activity that threatens the integrity of the service.

Cancellation and deletion

Requesting account deletion immediately stops email delivery and pauses your watchlist. If you have a Stripe subscription, the request also cancels it immediately and is not recorded until Stripe confirms cancellation. A temporary Stripe failure leaves the account in place so you can retry without risking an orphaned renewal. Your profile, watchlist, and notification data are permanently erased after a 14-day grace period, except for minimal records we must retain for fraud prevention, accounting, or legal obligations. Disclaimer and limitation of liability

The service is provided "as is" and "as available" without warranty of any kind, express or implied. Always verify decisions against the official Acquisition.gov source before relying on them.

To the maximum extent permitted by law, ClauseSignal is not liable for decisions made using this service or for missed, delayed, or inaccurate notifications, and is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, or data, even if advised of the possibility of those damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service is limited to the fees you paid to ClauseSignal in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

Changes to these terms

We may update these terms as the service changes. For material changes — including price changes and changes to how we handle your data — we will email the address on your account at least 30 days before the change takes effect. Other changes are reflected here with an updated date. Continuing to use the service after a change takes effect means you accept the updated terms; if you do not, cancel before the effective date.

Governing law and venue

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service must be brought exclusively in the state or federal courts located in Texas, and both parties consent to personal jurisdiction there.

General

If any provision of these terms is held unenforceable, that provision is limited or severed to the minimum extent necessary and the remaining provisions stay in force. These terms, together with the Privacy Policy and the Disclaimer, are the entire agreement between you and ClauseSignal regarding the service and supersede any prior agreement or understanding on that subject. You may not assign or transfer these terms without our prior written consent; we may assign them to a successor in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver of it.
